SCOPE OF SERVICES
Qubit Notion provides a cloud-based media intelligence platform ("the Platform") that includes data ingestion, normalization, audience segmentation, media planning, attribution modeling, and automated reporting capabilities. Access to the Platform is granted on a subscription basis under the terms of your executed Master Services Agreement (MSA) or Order Form. The Platform is designed for professional use by authorized personnel within your organization and is not intended for consumer or personal use.
ACCEPTABLE USE POLICY
You agree to use the Platform solely for lawful business purposes in compliance with all applicable laws and regulations. Prohibited activities include: (a) reverse engineering, decompiling, or disassembling any part of the Platform; (b) using the Platform to process, store, or transmit data in violation of privacy laws including GDPR, CCPA, or equivalent regulations; (c) attempting to gain unauthorized access to other accounts, systems, or networks connected to the Platform; (d) uploading or transmitting malicious code, viruses, or any content designed to disrupt Platform operations; (e) reselling, sublicensing, or redistributing Platform access without prior written consent.
DATA OWNERSHIP AND RIGHTS
You retain full ownership of all data you upload, process, or generate through the Platform ("Customer Data"). Qubit Notion does not claim any intellectual property rights over your Customer Data. We process Customer Data solely to provide the services described in your agreement and in accordance with our Data Processing Agreement (DPA). Aggregated, anonymized benchmarking data derived from platform-wide usage may be used to improve service quality, provided no individual organization or personally identifiable information can be reconstructed from such data.
PRIVACY AND DATA PROTECTION
We are committed to protecting the privacy and security of your data. All Customer Data is encrypted at rest using AES-256-GCM and in transit using TLS 1.3. Our infrastructure enforces tenant isolation at the database, compute, and network layers. Our access control, audit logging and change management practices are mapped to SOC 2 controls. For detailed information about our data handling practices, please refer to our Privacy Policy. Our platform is designed with privacy by default: hashed identity resolution ensures no raw personally identifiable information (PII) is stored or processed within the system.
INTELLECTUAL PROPERTY
The Platform, including all software, algorithms, models, documentation, trademarks, and design elements, is the exclusive property of Qubit Notion and is protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to access and use the Platform during the subscription term. Any feedback, suggestions, or enhancement requests you provide may be used by Qubit Notion to improve the Platform without obligation or compensation. Custom configurations, reports, and outputs generated using your data remain your property.
SERVICE LEVEL AGREEMENT
Uptime commitments for the core Platform services are set out in your Master Services Agreement and measured exclusive of scheduled maintenance windows. Scheduled maintenance is performed during low-traffic periods with a minimum of 48 hours advance notice. In the event of downtime exceeding the committed level, eligible customers may request service credits as specified in their MSA. Our incident response protocol includes automated monitoring, escalation procedures, and post-incident reports delivered within 5 business days of resolution.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Qubit Notion's total aggregate liability for all claims arising from or relating to the Platform shall not exceed the fees paid by you during the 12 months preceding the claim. In no event shall Qubit Notion be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, regardless of the theory of liability. These limitations apply even if Qubit Notion has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.
USER ACCOUNTS AND ACCESS
Account administrators are responsible for managing user access, roles, and permissions within their organization's tenant. Multi-Factor Authentication (MFA) is mandatory for all administrative accounts and is strongly recommended for all users. You are responsible for maintaining the confidentiality of account credentials and for all activities conducted under your accounts. Qubit Notion reserves the right to suspend access to any account that exhibits behavior indicative of a security compromise, with immediate notification to your designated security contact.
TERMINATION AND DATA PORTABILITY
Either party may terminate the agreement at the end of any subscription term with 30 days written notice. Upon termination, you have 30 days to export your Customer Data using the Platform's built-in export tools or API. After the export window, all Customer Data will be permanently deleted from our systems within 90 days, with certification of deletion available upon request. Early termination fees may apply as specified in your Order Form. Qubit Notion may immediately terminate or suspend access for material breach of these terms, including violations of the Acceptable Use Policy.
GOVERNING LAW AND DISPUTE RESOLUTION
These terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in your Master Services Agreement. Any disputes arising from or relating to these terms or the Platform shall first be submitted to good-faith mediation. If mediation is unsuccessful within 60 days, disputes shall be resolved through binding arbitration administered by a mutually agreed arbitration body. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
